1. Who we are

Exhibit Room is made and sold by:

Toubbali OÜ is not registered for VAT, so no VAT number is shown. In these terms "we", "us" and "our" mean Toubbali OÜ, and "you" means the person or organisation buying or using Exhibit Room.

2. Definitions

• Software — the Exhibit Room desktop application for Windows, macOS and Linux, including any updates we make available.
• Website — https://exhibitroom.app and its subpages.
• License key — the code in the format XXXX-XXXX-XXXX-XXXX that we email you after payment.
• Activation — entering your license key on a computer so that the Software registers that computer against your license.
• Device — one computer on which the Software is activated.
• Trial — the 14-day period during which the Software can be used without a license key.
• Consumer — a natural person buying outside their trade, business or profession, as defined in the law that applies to them.

3. The license we grant you

When your payment completes we issue you a license key. That key grants you a personal, non-exclusive, non-transferable, worldwide license to install and use the Software:

• for as long as you want — the license does not expire and there is nothing to renew;
• on up to 2 devices at the same time, each one registered by activation;
• for your own work, or for the internal work of the firm or organisation that bought the license, including on client matters.

You can move the license between computers. Open Settings → License on a computer you no longer use and deactivate it; the slot is free again immediately. If that computer is lost, broken or already wiped, email us and we will free the slot for you.

The Software is licensed to you, not sold. We keep every right we do not expressly grant here.

4. What the license does not allow

• Sharing, publishing, reselling, renting, lending or sublicensing your license key.
• Using one license on more devices than it allows, or working around activation or the device limit.
• Offering the Software to other people as a hosted or managed service.
• Reverse engineering, decompiling or disassembling the Software, except to the extent that applicable law expressly permits it despite this restriction — in the EU, that includes the interoperability and error-correction rights in the Software Directive.
• Removing or altering license, copyright or attribution notices.

5. Free trial

The Software can be used without a license key for 14 days from the first time you open it. The trial includes every feature, shows a small Exhibit Room mark in the corner of presentation mode until a license is activated, applies no mark to your documents, and needs no credit card.

When the trial ends, the Software asks for a license key. Your trials, exhibits and annotations stay on your computer and are available again as soon as you activate.

The trial is offered once per computer. Deliberately resetting or circumventing it in order to repeat it is not permitted.

6. Price, promotion codes and payment

Exhibit Room costs $149 as a one-time purchase. Prices are shown in US dollars. Anything Stripe is required to add or collect at checkout is shown to you before you pay.

We sometimes publish a promotion code — currently EARLY50, which takes 50% off. Codes apply to the purchase they are used on, can be withdrawn at any time, and do not change anything else in these terms.

Payment is processed by Stripe Payments Europe, Ltd. through Stripe Checkout. You enter your card details on Stripe's own page. We never see or store your card number, and no card data reaches our servers. From Stripe we receive your email address, the amount, the currency, a payment identifier and any promotion code used.

7. Your license key

We email your license key to the address you give Stripe, normally within a few minutes of payment. Delivery of the digital content begins when that email is sent.

Keep the key. It is what proves your license and what you need when you set up a new computer. Treat it like a password: anyone who has it can use one of your activation slots.

If the key does not arrive, check your spam folder and then email support@exhibitroom.app — we will resend it.

8. Refunds and the right of withdrawal

Our refund promise. Email support@exhibitroom.app within 14 days of your payment and we will refund it. You do not need to give a reason. We refund to the original payment method and deactivate the license.

If you are a consumer in the EU or EEA, you also have a statutory right to withdraw from a distance purchase within 14 days. For digital content that is delivered immediately, that statutory right can lapse once delivery has begun with your express prior consent and your acknowledgement that you lose it.

In practice this makes no difference here: whether or not the statutory right still applies to you, we honour refund requests made within 14 days of payment, on request and without a reason.

Starting or using the free trial is not a purchase and has no effect on any of this. Refund requests made more than 14 days after payment are at our discretion — ask, and tell us what went wrong.

9. Updates

Updates to Exhibit Room are included in your license at no extra cost, for the life of the product.

Updates are never installed automatically and never interrupt you while you are presenting. You choose when to install one, and you can postpone it. A version you have already installed keeps working.

We may stop publishing updates for old operating system versions, or discontinue the product altogether. If that happens, the version you have keeps working on the computers where it is activated; we are not obliged to build any particular future version or feature.

10. Acceptable use

You agree not to use Exhibit Room or our services to:

• break the law, or infringe someone else's rights;
• handle documents you have no right to handle, or disclose confidential or privileged material you are not entitled to disclose;
• attack, overload or probe the license service, the website or the update service, or attempt to gain access to parts of them that are not open to you;
• misrepresent your identity when buying, activating or requesting support.

You are responsible for having the right to use the documents you import, and for handling them appropriately.

11. No warranty about courts, admissibility or outcomes

Exhibit Room is a tool for organising and displaying documents. It is not legal advice, it does not make any document admissible, and it certifies nothing about your evidence. We make no representation that Exhibit Room, or anything produced with it, satisfies the rules, procedures, formats or technical requirements of any particular court, tribunal, jurisdiction or proceeding.

Redaction in this version is visual only. It covers an area on screen and in presentation mode; it does not remove text or image data from the underlying PDF file. Do not rely on it to produce a file that is safe to disclose.

Test your complete setup — computer, display, cables, adapters and the exhibits themselves — before you rely on it in a hearing.

12. Disclaimer of warranties

Except as section 13 says and as law requires, the Software is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Software will be uninterrupted, error-free or free of defects, or that the license service will always be reachable.

Nothing in these terms excludes or limits your mandatory statutory rights. If you are a consumer in the EU or EEA you keep your legal guarantee of conformity for digital content, and the exclusions above apply only as far as the law allows.

13. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, nor for lost profits, lost business, lost data, or loss arising from a hearing, filing, deadline or proceeding, even if we were told such loss was possible.

Our total liability arising out of or relating to Exhibit Room or these terms is limited to the amount you actually paid for your license.

These limits do not apply to liability for death or personal injury caused by our negligence, to intentional misconduct or gross negligence, or to any other liability that cannot lawfully be limited.

14. Termination

You may stop using Exhibit Room at any time. Uninstalling it ends these terms for you; your local data remains yours.

We may suspend or revoke a license that is shared publicly, resold, or used to work around the device limit, and we may refuse service in cases of fraud or chargeback abuse. Where a problem looks accidental we will contact you first and give you a chance to put it right.

If we revoke a license that you paid for and did not misuse, we will refund it. Sections 11, 12, 13 and 16 survive termination.

15. Changes to these terms

We may update these terms — for example when the product changes or the law does. The current version always lives at https://exhibitroom.app/terms and the effective date at the top of this page changes with it.

Material changes are posted on this page before they take effect. Changes apply to your use of the Software from the new effective date; the license you have already bought keeps the rights described in section 3.

16. Governing law, venue and disputes

These terms are governed by the laws of the Republic of Estonia, without regard to conflict-of-law rules. The courts of Estonia have jurisdiction, and the court of first instance is Harju County Court (Harju Maakohus) in Tallinn.

If you are a consumer, this does not take away the protection of the mandatory consumer law of the country where you live, and it does not stop you bringing a claim in the courts of that country where the law gives you that right.

Please email us first — most problems are settled in one message. If we cannot settle it, a consumer in Estonia can refer the dispute to the Consumer Disputes Committee at the Estonian Consumer Protection and Technical Regulatory Authority, ttja.ee. Consumers in other EU countries can contact the consumer dispute body in their own country.
